Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Muneem website, mobile applications, and GST billing and accounting platform ("Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

This is a template document. Please have it reviewed by a qualified legal professional before relying on it for regulatory or compliance purposes.

Description of Service

Muneem provides an online platform for GST-ready invoicing, billing, payment tracking, accounting, and related business tools for Indian small and medium businesses, freelancers, service providers, and chartered accountants. Features may include client and item management, invoice and quote generation, multi-business support, payment reminders, GST reports, e-invoicing, and integrations with payment providers and government portals.

We may update, modify, or discontinue features at any time. We will try to provide reasonable notice for material changes that affect paid subscriptions.

Eligibility and Account Registration

To use the Service, you must be at least 18 years old and have the authority to enter into agreements on behalf of your business. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You agree to notify us immediately of any unauthorized access or use of your account. Muneem will not be liable for any loss or damage arising from your failure to secure your account.

Subscriptions and Billing

Muneem may offer free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis, as selected by you. All fees are quoted in Indian Rupees and are exclusive of applicable taxes, including GST, which will be added at checkout.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. No refunds will be provided except where required by applicable law or as expressly stated in our refund policy.

If payment fails, we may suspend your account after a reasonable grace period. You are responsible for keeping your payment information up to date.

Use of Service

You agree to use Muneem only for lawful purposes and in accordance with these Terms. You will not, and will not attempt to:

  • Use the Service for fraudulent, illegal, or unauthorized purposes.
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
  • Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Upload or transmit viruses, malware, or other harmful code.
  • Send spam, unsolicited communications, or harassing messages through the Service.
  • Use the Service to store or process sensitive personal data that is not necessary for your billing or accounting needs, such as health data or financial account passwords.

We reserve the right to suspend or terminate accounts that violate these rules.

Data Ownership and Backup

You retain all rights to the data you enter, upload, or generate using the Service ("Your Data"). Muneem does not claim ownership of Your Data. You grant us a limited license to host, process, and display Your Data as necessary to provide the Service.

We perform regular backups, but we do not guarantee that any data will not be lost. You are responsible for maintaining your own backups of important data. Upon termination of your account, you may export Your Data within a reasonable period as provided by the Service. After that period, we may delete Your Data in accordance with our data retention policies.

Intellectual Property

Muneem, including its branding, logos, software, code, designs, text, graphics, and other materials, is the intellectual property of Muneem or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. Feedback and suggestions you provide may be used by us without obligation or compensation to you.

Third-Party Services

The Service may integrate with or contain links to third-party services, including payment gateways, banks, accounting tools, government portals, and analytics providers. Your use of these third-party services is governed by their own terms and privacy policies. Muneem is not responsible for the availability, accuracy, content, or practices of third-party services.

We may share data with payment processors and government portals as necessary to perform the Service, but we are not responsible for delays, errors, or failures caused by these third parties.

Termination and Suspension

You may terminate your account at any time through your account settings. We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or if your use poses a security or legal risk. Upon termination, your right to use the Service ceases immediately, and you must stop all use of the Service.

Provisions that by their nature should survive termination, including data ownership, intellectual property, disclaimers, limitation of liability, and governing law, will survive.

Disclaimers and Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Muneem is not a tax advisor, chartered accountant, or legal advisor. The GST reports and other outputs generated by the Service are based on the data you provide. You are responsible for verifying the accuracy of your filings and complying with all applicable tax and legal requirements.

Limitation of Liability

To the maximum extent permitted by applicable law, Muneem and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to your use or inability to use the Service.

Our total liability for any claims arising under these Terms will not exceed the amount you paid to Muneem in the twelve (12) months preceding the event giving rise to the liability, or one thousand Indian Rupees (INR 1,000), whichever is higher.

Indemnification

You agree to indemnify, defend, and hold harmless Muneem and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, Your Data, violation of these Terms, or violation of any third-party right.

Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka. Before initiating legal action, the parties agree to attempt to resolve disputes amicably through good-faith negotiation.
